Welcome to Wrightsville Merchants' Association (“Company”, “we”, “our”, or “us”). By accessing or using our website, services, applications, or any other resources provided by Company (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you may not use the Services.

1. Use of Services

You must be at least 18 years old to access or use the Services. You agree to use our Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

2. User Accounts

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Intellectual Property

All content, features, and functionality included in or accessible through the Services — including but not limited to software, text, graphics, logos, icons, images, and AI-generated outputs — are the exclusive property of Company or its licencors and are protected by copyright, trademark, and other intellectual property laws.

4. License to Use

Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal use, subject to compliance with these Terms.

You agree not to:

9. Limitation of Liability

To the fullest extent permitted by law, Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising out of or related to your use of the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Company its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees resulting from your violation of these Terms or misuse of the Services.

11. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the Commonwealth of Pennsylvania, in the English language, by a single arbitrator. You agree that you and Company waive the right to a trial by jury or to participate in a class action, and that the arbitration shall be the sole and exclusive forum for any legal dispute between the parties, subject to any small claims jurisdiction.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Services constitutes your acceptance of the modified Terms.
